The software group “Everfield” has acquired the Bavarian software company “SoCom Informationssysteme GmbH”. This is Everfield's first investment in Germany on its way to becoming a pan-European group of B2B software companies.
A multi-disciplinary transactional advisory team of BDO Legal Rechtsanwaltsgesellschaft mbH and BDO AG Wirtschaftsprüfungsgesellschaft jointly led by Thorsten Schumacher, Jan Odewald and Dr Michael Brauer has advised Software investor Everfield on its market entry in Germany and the acquisition of Krumbach-based SoCom Informationssysteme GmbH.
SoCom Informationssysteme GmbH is a software specialist for laundries and provides end-to-end process management for large laundries with its ERP software TIKOS. With more than 40 software modules as well as app and web solutions, the digitization possibilities extend beyond the operational boundaries. With its steadily growing portfolio, the medium-sized company has been successfully operating in the laundry industry for over 30 years and is the market leader in the German-speaking region. In total, SoCom’s products are used in more than 350 laundries in 17 countries. Customers include a large number of German laundry companies.
“Everfield” which is backed by PE-sponsor Aquiline Capital Partners, is currently establishing a pan-European group of B2B software companies and focuses on the acquisition of suppliers of proprietary software solutions. As part of a “buy-and-grow” strategy, Everfield aims to fully acquire targets and sees itself as a long-term investor whose portfolio companies largely retain their autonomy but can draw on support from Everfield’s teams.
The BDO team advised Everfield comprehensively on the due diligence and legal aspects of the transaction. The acquisition of SoCom was already the second cooperation of the BDO team around the Duesseldorf partners Schumacher, Odewald and Dr Brauer with Everfield. In November last year, the team, together with local colleagues, had already advised Everfield on the acquisition of two targets (Blue Bridge Technologies SIA and Digital Clinic SIA) in Latvia.
