BDO advises EGN Entsorgungsgesellschaft Niederrhein GmbH on its strategic expansion into the constru

A mutli-disciplinary team of BDO AG Wirtschaftsprüfungsgesellschaft and BDO Legal Rechtsanwaltsgesellschaft mbH jointly led by Hamburg and, respectively, Düsseldorf based partners André Horn (BDO) and Thorsten Schumacher (BDO Legal) has advised EGN Entsorgungsgesellschaft Niederrhein GmbH (Viersen) on the acquisition of all shares in D&H Baustoff Verwertungs GmbH (Kamp-Lintfort) and Jochims Transport GmbH (Kerken). The parties have agreed not disclose the purchase price.

EGN is a 100% subsidiary of SWK STADTWERKE KREFELD AG and operates 45 waste disposal facilities, including waste incineration plants in Krefeld. EGN employs approx. 800 people at 15 locations and generates a turnover of around 180 million Euro. The geographical focus of EGN's logistics and plant locations has so far been on the cities of Krefeld, Düsseldorf and Cologne as well as on the districts of Viersen, Neuss, Aachen and Heinsberg. With the acquisition of D&H Baustoff Verwertungs GmbH (D&H) and Jochims Transport GmbH (JT Transport), EGN now also has locations in the districts of Kleve, Wesel and the neighboring Ruhr area.

The acquired companies have been active since the mid-1990s and, even though legally independent, have been working together successfully for many years.

D&H specialises in the processing and treatment of construction waste (building rubble, soil and mixed construction waste) for recycling. The recycled building materials obtained in this way are marketed by D&H as secondary raw materials for road construction.

JT Transport is an expert for waste disposal and logistics and has been a long-term partner to customers in the demolition/redevelopment, renovation, civil engineering and canalisation, gardening and landscaping sectors. With its approx. 70 semi-trailers, the company serves construction sites throughout North Rhine-Westphalia.

The BDO team acted as M&A, corporate finance and tax advisor to EGN (tax clauses in transaction agreements), while BDO Legal advised EGN on the conclusion of the transaction agreements.
