Apleona Wolfferts, a supra-regional company operating in the field of building services engineering, is acquiring Smart Energy Group (SEG), which specialises in electrical engineering, HVAC (heating, ventilation, air conditioning and sanitary engineering) and planning services, from EOS-Partners. This expands the Apleona Group's range of services for technical building equipment and makes it a full-service provider for building technology in Germany. BDO also provided tax advice to its long-standing client Apleona on this transaction.
The Smart Energy Group, headquartered in Cologne, employs around 260 people at six locations in North Rhine-Westphalia and Hesse. The company offers a comprehensive portfolio of technical building services for planning, installation and services in the fields of electrical engineering and heating, ventilation, sanitation and air conditioning technology. The group comprises four operating units: Oertel & Prümm (electrical engineering), Lentzen Gebäudetechnik (HVAC), Matthias Frischke (HVAC) and gpc Technologies (planning services in the field of building equipment).
Apleona Wolfferts has over 1,700 employees at 25 locations throughout Germany. Its customers include well-known industrial companies, property developers, general contractors and project developers, as well as public clients such as universities, clinics, museums and trade fair companies. Apleona Wolfferts also serves customers in the medium and small-scale plant engineering sector, for example in the installation of heat pumps.
Following the acquisition of the Diehl Group, which was also supported by BDO, this is already Apleona's second major acquisition in the building services engineering sector within the last 18 months.
BDO advised Apleona on the transaction with a team led by Dr Michael Brauer and provided comprehensive support in conducting tax due diligence, tax structuring and tax contract drafting.
