A BDO AG Wirtschaftsprüfungsgesellschaft team led by Dr Michael Brauer and Christian Richter advised the French company Colas SA on the acquisition of the road construction and recycling business of Frauenrath Group. BDO carried out the tax due diligence of the target companies and supported Colas SA with the tax structure and the SPA.
By acquiring the road construction and recycling business of Frauenrath Group Colas SA is strengthening its market position and laying the foundations for further expansion in the DACH region by expanding to Germany.
Frauenrath Group as a family-owned construction company generated with ca. 620 employees a total revenue of approximately 250 million euros. The transferred road construction and recycling business units with approximately 420 employees accounted for revenue of around 150 million euros.
Colas SA is a subsidiary of the Bouygues Group. With over 60,000 employees worldwide, the company focuses on planning, construction and maintenance of mobility infrastructure, as well as the implementation of sustainable development projects.
The closing of the transaction is expected to take place within Q2 2026 subject to merger control clearance.
