BDO has provided comprehensive advice to RWE in connection with its planned acquisition of indirect shares in the transmission system operator Amprion. As agreed, RWE is acquiring shares in M31 Beteiligungsgesellschaft mbH & Co Energie KG from a consortium of institutional financial investors and, upon completion of the transaction, will hold a 55 per cent majority stake in the company. The transaction value for this increase in shareholding amounts to around 3.6 billion euros.
The final completion of the transaction is subject to the usual regulatory and competition law approvals and is expected in the third quarter of 2026.
BDO was responsible for the tax structuring of the transaction and the incorporation of the tax provisions into the purchase and transaction agreements, as well as for selected financial and regulatory analyses.
