BDO advises AcadeMedia GmbH on acquisition of Docemus Privatschulen
A transaction advisory team from BDO led by Frank Scholl and Martin Studier (Deal Advisory) and Dr Michael Brauer (Transaction Tax), together with BDO Legal Rechtsanwaltsgesellschaft mbH as legal cooperation partner, advised AcadeMedia Education GmbH (AcadeMedia) on the acquisition of Docemus Privatschulen (Docemus). BDO was responsible for the financial and tax due diligence, while BDO Legal Rechtsanwaltsgesellschaft mbH, led by Dr Konstantin Michelsen, was responsible for the legal due diligence and legal transaction advisory services.
The acquisition includes grammar, intermediate secondary and technical secondary school operations, serving approximately 1,400 students across three campuses in Germany. Following the establishment of the Grünheide campus in 2006, Docemus expanded regionally with the addition of the Neu Zittau campus in 2008, and the Blumberg campus in 2015, thereby strengthening its presence in the local community. AcadeMedia is acquiring all shares from the founders Ute and Jens Brügmann.
Upon completion of the acquisition, AcadeMedia’s operations in Germany will comprise 103 pre-schools and 12 schools. The acquisition is expected to generate operational and structural synergies with the existing business and is aligned with the Group’s long-term ambition to continue its international expansion.
AcadeMedia’s international operations currently include education services in Norway, Finland, Germany, the Netherlands, Poland and England, and account for slightly more than 30 percent of the Group’s total revenue. “Germany is a prioritised market for AcadeMedia, and we are pleased to further strengthen our offering. Through this acquisition, AcadeMedia becomes the market leader in the state of Brandenburg. The acquisition complements and strengthens our existing organization in the country,” says Kristofer Hammar, Director of Business Development at AcadeMedia.
As part of the transaction, AcadeMedia will support the strategic development of Docemus and use its expertise in the education sector to further expand the schools' offerings and reach.
